Although we verify certain information about users, you understand and agree that PracticeBytes.com makes no warranty or guarantee of any kind with regard to the work/service performed by a health care professional who is hired by you through our Website and Services.

Relationship With Health Care Professionals

PracticeBytes.com provides your contact information to health care professionals so they can contact you and accommodate what you are requesting. We have no other business relationship with them other than providing them with your contact information. We have no control at all over health care professionals and their business practices.

We will not be responsible in any way for disputes, performance issues, or legal problems between you and the health care professional, who performs any work/service for you, paid or free of charge. Disputes of any kind between you and a health care professional should be resolved between you and them, and not with PracticeBytes.com.

Rules for Members of Our Website

1. As a Member, you have the ability to leave reviews and ratings about health care professionals and their services. You are responsible for the comments you post on our Website, so think sensibly before you leave feedback about anyone.

2. All ratings and reviews you post about a health care professional must be based on your personal experience with them working with you, and are accurate and truthful.

3. You have not been compensated in any way by the health care professional to post a positive review.

4. You will not make comments about other Member’s comments in your review of the health care professional.

5. You will not post hyperlinks to other websites or blogs, in your review of a health care professional.

6. You cannot post a review about a health care professional to whom you are related by blood or marriage.

By using our Website you agree to fully comply with and be bound by the following Agreement each time you use our Website. Please review the following terms carefully.

All text, information, graphics, design, and data offered through our Website or Services, whether produced by our Members or by us, are collectively known as our “Content”. We distinguish content posted by our Members as “Member Content”.

Acceptance of Agreement

This Agreement is between you and PracticeBytes.com

Arbitration

Each party will bear a half of the arbitration fees and costs.

Choice of Law and Jurisdiction

This Agreement will be treated as if it were executed and performed in Miami, Florida, and will be governed by and construed in accordance with the laws of the state of Florida without regard to conflict of laws provisions. In addition, you agree to submit to the personal jurisdiction and venue of such courts. Any cause of action by you with respect to our Website or Service must be instituted within one (1) year after the cause of action arose or be forever waived and barred.

Limited License

PracticeBytes.com grants you a nonexclusive, nontransferable, revocable license to access and use our Website and Services strictly in accordance with this Agreement. Your use of our Website and Services are solely for internal purposes, unless otherwise provided in this Agreement. As a Member, you have the ability to leave reviews and ratings about health care professionals and their services. All ratings and reviews you post about them must be based on your personal experience with them working with you, and are accurate and truthful. You are responsible for the comments you post on our Website, so think sensibly before you leave a review about a health care professional and their business.

As a Member you agree NOT to use our Services to do any of the following:

Upload, post, or otherwise transmit any Member Content that:

Makes a false review about a health care professional
Posting a review about a health care professional that you have been compensated for
Contains a review about a health care professional to whom you are related by blood or marriage
Contains hyperlinks to other websites or blogs, in your review of a health care professional
Makes comments about other Member’s comments in your review of a health care professional
Violates any local, state, federal, or international laws
Infringes on any trademark, trade secret, copyright, or other rights of any party
Links directly or indirectly to any materials to which you do not have a right to link
Contains any private information of any third party
Contains any unauthorized advertising, solicitations, or spam
Contains software viruses, files, or programs designed to interrupt or destroy computer software or hardware or extract information from our Website or Services
Harms, threatens, defames, promotes violence or illegal activities, or is otherwise obscene, abusive, harassing, libelous, racially, ethically, or otherwise objectionable.

Develop a competing website

PracticeBytes.com provides your contact information to heath care professionals so they can quote you a price for your request or service. We have no other business relationship with them other than providing them with your contact information to bid on you. We have no control at all over heath care professional business practices who bid on you. We will not be responsible in any way for disputes, performance issues, or legal problems between you and the heath care professional who performs work/service for you. Disputes of any kind between you and a heath care professional should be resolved between you and them, and not with PracticeBytes.com.

Use of Information

You grant PracticeBytes.com a license to use the information and materials you post to our Website. By posting, displaying, transmitting, performing, or otherwise distributing information or other content (“Member Content”) to our Website, you are granting PracticeBytes.com, its officers, directors, employees, agents, consultants, representatives and affiliates, a license to use the Member Content in connection with the operation of the business of PracticeBytes.com, its directors, employees, officers, affiliates, representatives, consultants, and agents, including without limitation, a right to distribute, copy, transmit, publicly display, reproduce, translate, edit, and reformat Member Content. Payments

You represent and warrant that if you are purchasing something from us, (i) any credit information you supply is true and complete, (ii) charges incurred by you will be honored by your bank or credit card company, (iii) you will pay the charges incurred by you at the posted prices, including any applicable taxes, and (iv) if your initial payment method is dishonored, you will still pay the incurred charges, including any surcharge we may incur due to the dishonored payment.

Refund Policy for Health Care Professionals

We offer only credits (not money) to purchase another lead (lead replacement) for health care professionals.

Termination of Membership

Your membership with us is effective until terminated by you or us. Your rights under these Terms and Conditions will terminate without our notice if you fail to comply with any term of these Terms and Conditions. On termination you will stop representing yourself as a registered Member or health care professional. You must delete or destroy any information or content (including all copies) obtained from our Website. Certain provisions of this Agreement, including but not limited to copyrights, indemnity, trademarks, limitation of liability, warranty and jurisdictional issues will survive the termination of this Agreement.

Indemnification

You agree to indemnify, defend, and hold us and our partners, agents, officers, directors, employees, subcontractors, successors, assigns, third party suppliers of information and documents, attorneys, advertisers, product and service providers, and affiliates free from any liability, loss, claim, and expense, including reasonable attorney’s fees, related to your violation of this Agreement or use of our Website or Services.

Severability and Survival
